  1. Prices

2.1     The offers, the prices and the like, which are on the website of Mihaela HORECICA – Dynamics Solutions, on advertising material and brochures, are not binding.

 

  1. Formation of a contract

3.1     After the first written, per telephone, online or direct contact with the client, Mihaela HORECICA – Dynamics Solutions will make an offer as soon as possible.

3.2     The offer will be sent together with the general terms and conditions and the privacy policy to the client.

3.3     Acceptance of the offer, of the general terms and conditions and of the privacy policy is made by a written confirmation (e-mail or letter) of the client.

3.4     The contract is formed as soon as Mihaela HORECICA – Dynamics Solutions has received a written (e-mail or letter) order confirmation from the client with the content listed above.

 

  1. Payment terms

4.1     The contractually agreed prices and conditions apply. Unless special payment periods or conditions have been agreed, invoices must always be paid without deduction within 30 days of invoicing.

4.2     Costs incurred in a payment transfer are to be borne by the client. Mihaela HORECICA – Dynamics Solutions is entitled to the full invoice amount. Only with the payment of the invoice may the correspondingly acquired rights of use of the data be exercised by the client.

4.3     For orders whose total price exceeds 1.000,00 CHF, the client has to pay 20% of the total price in advance.

  1. Obligations of the client and other rights

5.1     The client expressly assures that he has all the rights to place an order and, if necessary, to organize them in advance. Should the rights of third parties be violated by the order, the client is fully liable for this.

5.2     The client is obliged to inform persons whose data or property may be affected by the film or activity in advance and to obtain their consent. Deadline is one week before the agreed date. Mihaela HORECICA – Dynamics Solutions accepts no liability for damages incurred by this.

5.3     If a user has rights to the depicted objects that were violated with the publication and requires the corresponding deletion, Mihaela HORECICA – Dynamics Solutions can and may remove the entire tour.

 

  1. Copyrights

6.1     All recordings made by Mihaela HORECICA – Dynamics Solutions are protected works within the meaning of the copyright law. Unless otherwise agreed, the customer receives the use, but not the full copyrights of the created data products.

6.2     The Mihaela HORECICA – Dynamics Solutions is entitled to the copyright of all data in accordance with copyright law and may also use it for its own purposes (for example as homepage advertising), unless otherwise requested by the customer.

 

  1. Performances

7.1     The production of film and / or photographs will only be made in compliance with local legal regulations.

7.2     The following general order execution constants have to be taken into consideration in advance: height, weather, problems with residents or neighbors, permission to shoot or take photographs – all of these must be resolved in advance by the client.

 

  1. Liability

8.1     Mihaela HORECICA – Dynamics Solutions is liable to the client only for intentional or grossly negligent damages. Liability for slight negligence is excluded.

8.2     Mihaela HORECICA – Dynamics Solutions accepts no liability whatsoever for any private, personal or other information about your property, when for example the data can be seen online.

 

  1. Resignation, cancellation and postponement

9.1     The client has the right to cancel a recording date. This must be done 72 hours (three working days) before the actual appointment.

9.2     If the appointment is postponed as a result of bad weather, this must be done within 24 hours before the actual date.

9.3     If the appointment is postponed within the deadline at 9.1., nothing will be charged. If these deadlines are not met, 50% of the order will be charged, if the client wants to cancel the contract and 30% of the order will be charged, if the client wants to postpone the appointment.

9.4.    If Mihaela HORECICA – Dynamics Solutions should be unable to perform the recording due to technical problems or illness or accident of the employees, the invoice will be canceled within 7 days and any prepayments will be refunded.

9.5.    There can be no claim for compensation in any form.

 

  1. Others

All orders may be executed by partner companies or commissioned by Mihaela HORECICA – Dynamics Solutions.

 

  1. Changes and additions to the terms and conditions

11.1   Mihaela HORECICA – Dynamics Solutions reserves the right to change these terms and conditions at any time.

11.2   The new terms and conditions will be announced to current clients and are considered as approved without opposition within 30 days.

 

  1. Severability clause

12.1   If one or more provisions of these general terms and conditions prove to be wholly or partially ineffective (inapplicable), it shall be deemed to have been agreed that which corresponds to the intended purpose lawfully or comes as close to this as possible.

12.2   The remaining provisions remain valid.

 

  1. Scope, applicable law and jurisdiction

13.1   These terms and conditions apply to all clients who have concluded a contract with Mihaela HORECICA.

13.2   This contract is governed exclusively by Swiss law. Jurisdiction for all legal disputes between the client and Mihaela HORECICA – Dynamics Solutions is the court near the headquarters of Mihaela HORECICA – Dynamics Solution.

  1. Preise (Honorar)
    • Die Angebote, die Preisangaben und dergleichen, welche sich auf der Website von Mihaela HORECICA – Dynamics Solutions, auf Werbeunterlagen und Prospekten befinden, sind unverbindlich.

 

  1. Vertragsschluss
    • Nach einem ersten schriftlichen, telefonischen, online oder direkten Kontakt vom Auftraggeber erstellt Mihaela HORECICA – Dynamics Solutions möglichst schnell ein Angebot.
    • Das Angebot wird zusammen mit den AGB und mit der Datenschutzerklärung an den Auftraggeber versandt.
    • Die Annahme von Angebot, AGB und Datenschutzerklärung erfolgt durch eine schriftliche Bestätigung (E-Mail oder Brief) des Auftragsgebers.
    • Der Vertrag kommt zustande, sobald Mihaela HORECICA – Dynamics Solutions eine schriftliche (E-Mail oder Brief) Auftragsbestätigung des Auftragsgebers mit dem obigen aufgeführten Inhalt erhalten hat.

 

  1. Zahlungskonditionen
    • Es gelten die vertraglich vereinbarten Preise und Konditionen. Sofern nicht besondere Zahlungsfristen oder Auflagen vereinbart sind, müssen Rechnungen stets ohne Abzug innerhalb 30 Tagen ab Rechnungsstellung bezahlt werden.
    • Kosten welche bei einem Zahlungstransfer entstehen sind durch den Auftraggeber zu tragen. Mihaela HORECICA – Dynamics Solutions hat Anspruch auf den kompletten Rechnungsbetrag. Erst mit der Bezahlung der Rechnung dürfen die entsprechend erworbenen Nutzungsrechte der Daten vom Auftraggeber wahrgenommen werden.
    • Für Aufträge, deren Gesamtpreis 1.000,00 CHF überschreitet, muss der Auftraggeber 20% des Gesamtpreises im Voraus zahlen.
    • Für Aufträge, die über den vereinbarten Zeitraum verlängert sein müssen, müssen die Parteien den Gesamtpreis wieder vereinbaren.

 

  1. Pflichten des Auftraggebers und sonstigen Rechte
    • Der Auftraggeber versichert ausdrücklich alle Rechte zur Auftragserteilung zu besitzen und nötigenfalls im Voraus zu organisieren. Sollten durch den Auftrag die Rechte Dritter verletzt werden, so ist der Auftraggeber hierfür vollumfänglich haftbar.
    • Der Auftraggeber ist verpflichtet, Personen, deren Daten oder Eigentum durch die Film oder Aktivität möglicherweise betroffen sind, im Voraus zu informieren und deren Einwilligung einzuholen. Frist dafür ist eine Woche vor dem vereinbarten Termin. Mihaela HORECICA – Dynamics Solutions übernimmt keinerlei Haftung für dadurch entstandenen Schaden.
    • Wenn ein Nutzer Rechte an den abgebildeten Objekten hat, die mit der Veröffentlichung verletzt wurden und die entsprechende Löschung verlangt, kann und darf Mihaela HORECICA – Dynamics Solutions den gesamten Rundgang entfernen.

 

  1. Urheberrechte
    • Alle von Mihaela HORECICA – Dynamics Solutions gefertigten Aufnahmen sind geschützte Werke im Sinne des Urheberschutzgesetzes. Soweit nicht anders vereinbart, erhält der Kunde die Nutzungs-, nicht aber die Urheberrechte der erstellten Datenerzeugnisse.
    • Der Mihaela HORECICA – Dynamics Solutions steht das Urheberrecht aller Daten nach Maßgabe des Urheberrechtsgesetzes zu und kann diese auch für eigene Zwecke verwenden (z.B. als Homepage-Werbung), sofern dies vom Kunden nicht anders gewünscht wird.

 

  1. Leistungen
    • Die Erstellung von Film- oder/und Fotoaufnahmen werden nur unter Einhaltung der lokalen rechtlichen Vorschriften erstellt.
    • Folgende generelle Ausführungskonstanten sind im Vorfeld zu berücksichtigen: Höhe, Wetter, Problemen mit Anwohnern oder Nachbarn, etwaige Einwilligungen um das Filmen oder Fotografieren zu erlauben – alle diese müssen im Vorfeld vom Auftraggeber gelöst werden.

 

 

  1. Haftung
    • Mihaela HORECICA – Dynamics Solutions haftet dem Auftraggeber lediglich für vorsätzliche oder grob fahrlässig verursachte Schäden. Die Haftung für leichte Fahrlässigkeit ist ausgeschlossen.
    • Mihaela HORECICA – Dynamics Solutions übernimmt keinerlei Haftung für private, persönliche Gegenstände oder sonstige mögliche Informationen über Ihr Objekt, wenn z.B. unsere Dienstleistungen online zu sehen sind.

 

  1. Rücktritt, Stornierung und Terminverschiebung
    • Der Auftraggeber hat das Recht einen Aufnahmetermin zu kündigen. Dies muss 72 Stunden (drei Arbeitstagen) vor dem eigentlichen Termin geschehen.
    • Bei Verschiebung des Termins infolge von Schlechtwetter muss dies innerhalb 24 Stunden vor dem eigentlichen Termin geschehen.
    • Bei Verschiebungen des Termins innerhalb der Frist, wird nichts in Rechnung gestellt. Sollten diese Fristen nicht eingehalten werden, werden 50% des Auftrages in Rechnung gestellt, wenn der Auftraggeber den Auftrag kündigen möchte oder 30% des Auftrages in Rechnung gestellt, wenn der Auftraggeber den Termin verschieben möchte.
    • Sollte Mihaela HORECICA – Dynamics Solutions die Aufnahmen aufgrund technischer Probleme oder Krankheit oder Unfall der Mitarbeiter nicht durchführen können, wird die Rechnung innerhalb 7 Tagen storniert und allfällige Vorauszahlungen rückerstattet.
    • Es kann in keiner Form Schadenersatz geltend gemacht werden.

 

  1. Sonstiges

Alle Aufträge dürfen durch Partnerfirmen ausgeführt oder durch Mihaela HORECICA – Dynamics Solutions in Auftrag gegeben werden.

 

  1. Änderungen und Ergänzungen der allgemeinen Geschäftsbedingungen
    • Mihaela HORECICA – Dynamics Solutions behält sich jederzeitige Änderungen dieser vorliegenden AGB vor.
    • Die neuen Bedingungen werden dem Auftraggeber bekannt gegeben und gelten ohne Widerspruch innerhalb 30 Tagen als genehmigt.

 

  1. Salvatorische Klausel
    • Sollten sich eine oder mehrere Bestimmungen dieser AGB als ganz oder teilweise unwirksam erweisen, gilt als vereinbart, was dem angestrebten Zweck rechtmäßig entspricht oder möglichst nahe kommt.
    • Die übrigen Bestimmungen bleiben rechtsgültig.

 

  1. Geltungsbereich, anwendbares Recht und Gerichtsstand
    • Diese AGB gelten für alle Auftraggeber, die einem Vertrag mit Mihaela HORECICA abschlossen haben.

Auf diesen Vertrag ist ausschließlich schweizerisches Recht anwendbar. Gerichtsstand für alle Rechtsstreitigkeiten zwischen dem Auftraggeber und Mihaela HORECICA – Dynamics Solutions ist das Gericht in der Nähe vom Sitz der Mihaela HORECICA – Dynamics Solutions.
